Terms of Service
Thanks for using CodeDaybook! These terms of service (the "Agreement") cover your use of CodeDaybook, a service operated by Vos Ventures Limited. ("Vos Ventures"). Along with this Agreement, our privacy notice, explains how we use, protect and store any personal information that you may provide to us while using CodeDaybook.
Acceptance of Terms
By using the CodeDaybook applications, service and website (collectively, the "Services") you agree and acknowledge that you have read, accept and are bound by this Agreement.
This Agreement applies to everyone who uses our Services and you cannot use our Services unless you accept this Agreement.
We maintain the right to change the terms of this Agreement at any time. If changes are made, we will post a link to the updated Agreement on CodeDaybook.com. You are responsible for reviewing and becoming familiar with any changes. Using our Services following notification of a change to this Agreement will confirm that you've accepted the updated Agreement.
YOUR RESPONSIBILITIES
Your CodeDaybook
When you use our Services, you will likely store important things in CodeDaybook. These items may include personal information, private notes and more (collectively, we call the items you store in CodeDaybook "Your CodeDaybook"). The contents of Your CodeDaybook is yours. You own the contents of Your CodeDaybook, not us. We have designed CodeDaybook in such a way that we can't access the contents of Your CodeDaybook. This Agreement doesn't give us any rights to the contents of Your CodeDaybook.
As part of our Services, we offer the ability to sync Your CodeDaybook and make it available across the computers, tablets or mobile devices that you approve. To do this, we need, and you agree that we have, your permission to store an encrypted version of Your CodeDaybook on our servers. When Your CodeDaybook is transferred or stored on our network, it will always be encrypted so that you are the only one who can access it.
Your Encryption Key
Your CodeDaybook is secured by an encryption key ("Encryption Key") that is generated on sign up. Entering your Encryption Key is the only way for you or anyone else to access Your CodeDaybook. You can change this encryption key at any time. You are responsible for keeping your Encryption Key a secret by storing your Encryption Key in a secure location.
As part of our Services, Vos Ventures will never be able to read or use your Encryption Key. We designed our Services this way to ensure that you are the only one who is able to access Your CodeDaybook. However, this also means that we're unable to restore or change your Encryption Key if you forget it. If you forget your Encryption Key and wish to continue using our Services, we can reset your account, but in doing so the backup of Your CodeDaybook on our servers will also be deleted.
GRANT OF RIGHTS
So long as you agree to and comply with the terms of this Agreement, Vos Ventures gives you a limited, nonexclusive, nontransferable, revocable right and license to (a) access and use the Services, and (b) download, install and use the client software (the "Software") solely to access the Services; subject to the terms of this Agreement. Vos Ventures and/or third parties own all right, title and interest in and to the Services and Software, including all intellectual property rights. All rights not granted to you are reserved for Vos Ventures and its licensors.
To the extent that any component of the Software may be offered under an open source license, we'll make that license available to you and the provisions of that license may expressly override some of the terms of this Agreement.
You are responsible for ensuring that your use of the Services is in compliance with all applicable laws and regulations. You agree not to sublicense, lease, rent, loan, transfer or distribute any portion of the Services. You agree not to modify, adapt, translate or create derivative works from the Services. Unless the following restrictions are prohibited by law, you agree not to reverse engineer or decompile the Services, attempt to do so, or assist anyone in doing so.
TRADEMARKS
These Services are protected by trademark, copyright and other Canadian and foreign laws. Please respect our Bears and our rights. To that end, you agree not to remove, obscure, or alter any trademark, copyright or other proprietary rights notices displayed in the Services, Software or on the CodeDaybook website.
THE SERVICES
Vos Ventures is providing the Services on an "as is, as available" basis, without representation or warranty of any kind to the fullest extent permitted by law. Vos Ventures does not guarantee the continuous availability of the Services or of any specific feature(s) of the Services.
Vos Ventures may modify the Services or any feature of the Services, impose usage or service limits, suspend Services or any feature of the Services permanently or temporarily, or block certain kinds of usage, at our sole discretion. We will inform you of any significant changes to the Services we may make. We may notify you of such changes by sending you an e-mail or by posting relevant information on the CodeDaybook website.
TERMINATION
You are free to stop using the Services at any time. You also agree that we can suspend or end your access to the Services at any time. For example, we may suspend or end your access to the Services if we find you to not be complying with the terms of this Agreement. In any case where we suspend or end your access, we will try to contact you by email to notify you of the details.
If you'd like to have the contents of Your CodeDaybook deleted from our servers, please contact the CodeDaybook support team who can help you delete Your CodeDaybook.
DISCLAIMER OF WARRANTIES
To the maximum extent permitted by law, Vos Ventures makes no representation, warranty, or guarantee as to the reliability, timeliness, quality, suitability, availability, accuracy or completeness of the Services. Vos Ventures does not represent or warrant that (a) the use of the Services will be secure, timely, uninterrupted or error-free or operate in combination with any other hardware, software, system or data, (b) the Services will meet your requirements or expectations, (c) errors or defects will be corrected, or (d) the Services are or will be free of viruses or other harmful components. The Services are provided by Vos Ventures on and "as is" "as available" basis without warranties or conditions of any kind, either express or implied, including without limitation, any implied warranty of merchantability, fitness for a particular purpose, or non-infringement of third-party rights, all of which are hereby disclaimed to the maximum extent permitted by law. You expressly agree that use of the Services is at your sole risk. Some jurisdictions do not allow the type of exclusions listed above, so some of these exclusions may not apply to you.
LIMITATION OF LIABILITY
To the fullest extent permitted by law, in no event shall Vos Ventures be liable under contract, tort (including negligence), strict liability, or any other legal theory with respect to any claims arising out of or related to the Services or this Agreement for (a) any lost profits, revenue, data, business or goodwill, or (b) any special, indirect, incidental, punitive, exemplary, aggravated or consequential damages of any kind whatsoever; whether or not Vos Ventures has been warned of the possibility of such damages. To the fullest extent permitted by law, in no event shall the total liability of Vos Ventures, for all damages, losses and causes of action whether in contract, tort (including negligence), or otherwise, exceed the aggregate dollar amount paid by you to Vos Ventures in the twelve months prior to the event that gave rise to the claimed loss, damages or cause of action. Some jurisdictions do not allow the type of exclusions or limitations listed above, so some of these exclusions or limitations may not apply to you.
INDEMNITY BY YOU
You hereby agree to indemnify and hold harmless Vos Ventures, its affiliated and associated companies, and their respective directors, officers, employees, agents, representatives, independent and dependent contractors, successors and assigns from and against all claims, losses, expenses, damages and costs (including, but not limited to, direct, incidental, consequential, special and indirect damages), and reasonable legal fees, resulting from or arising out of (i) a breach by you of this Agreement, (ii) the use of the Services by you or any person using your account, or (iii) any violation by you of any law or regulation or any rights of a third party. This indemnity obligation will survive the termination or expiration of your account and this Agreement.
MISCELLANEOUS
This Agreement constitutes the entire and exclusive agreement between you and Vos Ventures with respect to the Services, and supersedes and replaces any other agreements, terms and conditions applicable to the Services. This Agreement creates no third party beneficiary rights. Vos Ventures's failure to enforce a provision of this Agreement is not a waiver of its right to do so later. If a provision of this Agreement is found unenforceable, the remaining provisions of the Agreement will remain in full effect. You may not assign this Agreement or any of your rights under this Agreement, and any attempt to do so is void. Vos Ventures may assign this Agreement and its rights and obligations hereunder to any of its affiliates or to any successor in interest of any business associated with the Services.

This Privacy Notice describes how Vos Ventures Limited ("Vos Ventures"), the company behind CodeDaybook, handles your Personal Data when you use our CodeDaybook services ("Services").
By using our Services and/or registering for an account, you are accepting the terms of this Privacy Notice and our Terms of Use which are integrated here by reference.
Vos Ventures is a global company. Although our physical servers are located in many different countries around the world, Vos Ventures does not store Personal Data outside of United States' physical borders. By using our services, you authorize Vos Ventures to use your information according to United States' laws, regardless of which country you are located in.

PERSONAL DATA COLLECTION AND USE
As a provider of online privacy and security services, we ultimately strive to collect the minimal amount of information required to operate our service. This often means difficult trade-offs between the information we collect and the performance of our Service.
We believe in an open dialogue because this Privacy Notice is an evolving document. We welcome your thoughts and feedback on how we're doing.
WHAT IS PERSONAL DATA?
"Personal Data" means any information relating to an identified or identifiable natural person ("Individual") and includes information about you that you provide while using our Services. If we use or store Personal Data with information that is non-personal, we will consider the combination as Personal Data.
The Personal Data we collect includes your Account Data, certain credit card or payment information and, in some circumstances may include Operational Data, as described below. We may also collect Personal Data you provide to us if you communicate with us, for example, to request support or information.
We collect, use and disclose your Personal Data as necessary in order to provide you with the Services and for the other purposes identified below.
YOUR CodeDaybook DATA
CodeDaybook was carefully engineered so that you and only you can access the information stored in CodeDaybook. All items, such as passwords, credit cards, notes and any other types of data, stored by you in CodeDaybook are end-to-end encrypted. No CodeDaybook staff, including our support team and engineers, can view or access the information you store in CodeDaybook.
Your encrypted CodeDaybook data will be stored on our servers in United States so that you can sync between devices. Even though your data will be stored on our servers, it will only be accessible by you when you unlock it with your Master Password.
Vos Ventures does not own the data in your CodeDaybook, this is your information and you can add to it, delete it and modify it anytime you choose.
ACCOUNT DATA
When you create or update your CodeDaybook user account, we collect and store the following "Account Data". The Account Data is listed below in its entirety:
DISCLOSURE OF PERSONAL INFORMATION TO THIRD PARTIES
Except as described below or as required or permitted by law, Vos Ventures will NOT disclose your Personal Data to any other third parties under any circumstance.
Vos Ventures may disclose your Personal Data to third party service providers (e.g., payment processors as described above) to the extent necessary in order to provide you with the Services; in such case, we use contractual or other means to ensure that there is a comparable level of protection for any Personal Data that is processed for us by third parties.
In the event Vos Ventures is served with a valid subpoena, warrant or other legal document and applicable law requires Vos Ventures to comply, the extent of disclosure is limited to the Personal Data listed within this Privacy Notice.
As noted above, Vos Ventures utilizes PCI-compliant third-party payment processors to collect your credit card and other billing information.
If our organization structure changes (i.e., we undergo a restructuring or are acquired), we may need to migrate your Personal Data to a third party related to a business transaction, but, we will ensure that such a third party has entered into an agreement under which the use of your Personal Data is only related to purposes necessary for the transaction.
Vos Ventures does NOT store users originating IP addresses when connected to our Services and thus cannot identify users when provided IP addresses. Additionally, we cannot disclose information about the passwords, credit cards or other data our users store in their CodeDaybook, as Vos Ventures does NOT have access to this information.

Any Personal Data you provide to Vos Ventures will be administered according to the following principles:

Vos Ventures is responsible for the Personal Data under our control and has designated one or more individuals to oversee Vos Ventures's privacy compliance. CONSENT AND LEGITIMATE INTEREST
When you sign up for our Service and provide us Personal Data, you allow us to process that information in accordance with this Privacy Notice. We rely on legitimate interest for marketing, research, and fraud prevention. We will obtain your consent where required by law.
You have the right to ask us not to contact you. To exercise your choices or ask questions about your Personal Data, please contact us by visiting our privacy center.
LIMITING COLLECTION
We take great care to not collect Personal Data indiscriminately and limit collection to the minimum necessary information required to operate our Services. By limiting the collection of Personal Data, we help to protect the privacy and security of your Personal Data.
LIMITING USE, DISCLOSURE, AND RETENTION
We will not use or disclose your Personal Data for any purpose that you have not consented to. Vos Ventures will NOT sell or trade Personal Data for commercial purposes.
We store your Personal Data only as long as is necessary for the purposes for which it is collected to provide our Services, resolve disputes, establish legal defenses, conduct audits, pursue legitimate business purposes, enforce our agreements, and comply with applicable laws. We erase or destroy the records containing Personal Data when they are no longer required; this will be done in ways that will protect your continued privacy.
ACCURACY
It is your responsibility to inform Vos Ventures of any relevant changes in your Personal Data by updating your account information.
SAFEGUARDS
Vos Ventures uses strong safeguards to protect the privacy of all our records, including your Personal Data. We implement physical, business and technical security measures that are designed to prevent and protect against loss or theft as well as unauthorized access, disclosure, copying, use or modification to or of your Personal Data.
Only Vos Ventures's employees or Service providers with a business need to know or whose duties require access to Personal Data, are granted access to our customers' Personal Data. All such employees are required as a condition of employment to respect the confidentiality of our customers' Personal Data. No staff will ever be able to access, view or modify your CodeDaybook data. We use contractual or other means to ensure that there is a comparable level of protection for any Personal Data that is processed for us by third parties.
Your CodeDaybook data is secured by a Master Password that you select. YOU ARE RESPONSIBLE FOR PROTECTING YOUR MASTER PASSWORD. If you forget your Master Password, Vos Ventures can reset your account, but in doing so the backup of your CodeDaybook data on our servers will be deleted.
OPENNESS AND TRANSPARENCY
So that you can be confident that we are handling your Personal Data appropriately, we take extraordinary measures to document our policies and provide openness and transparency around the Personal Data we collect, why we collect it and how we use, disclose and otherwise handle it. INDIVIDUAL ACCESS
If at any time you have a question about our records containing your Personal Data, we will do our best to answer it. You have the right to be told about the kind of Personal Data we maintain and how it is used. Upon request, we will provide you with information regarding the existence, use and disclosure of your Personal Data.

USERS IN THE EUROPEAN UNION
If you are visiting from the European Union, please note that by providing your Personal Data, you consent to any transfer of your Personal Data to United States and processing of your Personal Data globally in accordance with this Privacy Notice.
Rights of Access, Rectification, Erasure, and Restriction
You have the right to inquire as to whether Vos Ventures is Processing Personal Data about you, request access to Personal Data, and ask that we correct, amend or delete your Personal Data where it is inaccurate.
Visit CodeDaybook's privacy center to request access to, receive (port), seek rectification, or request erasure of Personal Data held about you by Vos Ventures.
To protect your privacy, Vos Ventures will verify your identity when you login to your account with a username and password, before granting access to or making any changes to your Personal Data.
Vos Ventures makes good faith efforts to provide Individuals with the ability to delete their Personal Data, however there may be circumstances in which Vos Ventures is unable to delete all your Personal Data. An example of this exception could be deleting your data from database backups, where the difficulty of deleting your Personal Data likely exceeds the risk to your privacy.
If Vos Ventures determines that your Personal Data cannot be deleted in any particular instance, we will provide you with an explanation of why that determination has been made and a contact point for any further inquiries.
